Terms of Service

Effective date: April 1, 2026

1. Definitions

In these Terms of Service (“Terms”), the following capitalised terms have the meanings set out below:

  • “ewpire”, “we”, “us”, or “our” – LeMans Labs OÜ, a private limited company registered in the Republic of Estonia (registry code 16872044), with its registered address at Valukoja 8/1, 11415 Tallinn, Estonia, operating the ewpire platform at ewpire.com.
  • “Service” – the ewpire AI employee marketplace, including the website at ewpire.com, all AI Employees, messenger-based interfaces, free tools, blog content, and any related features, integrations, or communications.
  • “User”, “you”, or “your” – any individual or legal entity that accesses or uses the Service, including subscribers, website visitors, and users of free tools.
  • “AI Employee” – an AI-powered autonomous agent provided through the Service, capable of performing designated business tasks such as sales outreach, customer support, lead research, HR screening, social media management, and other automated operations.
  • “Subscription” – a recurring paid plan granting access to one or more AI Employees and associated features, billed on a monthly or annual basis via Stripe.
  • “Subscription Plan” – one of the available tiers: Starter ($199/€199/£199 per month, or $1,990/€1,990/£1,990 per year, 1 AI Employee), Pro ($499/€499/£499 per month, or $4,990/€4,990/£4,990 per year, 3 AI Employees), or Business ($1,499/€1,499/£1,499 per month, or $14,990/€14,990/£14,990 per year, all 9 AI Employees), or any successor plans as published on ewpire.com. Annual plans offer an approximate 17% discount compared to monthly billing (equivalent to 2 months free). All AI Employees are available across all plans; plans differ in the number of AI Employees included.
  • “Add-on Agent” – an additional AI Employee added to your Subscription beyond the number included in your plan, billed at $199/€199/£199 per month per Add-on Agent. Starter plans may add up to 2 Add-on Agents (3 total); Pro plans may add up to 3 Add-on Agents (6 total). Business plans include all AI Employees and do not require Add-ons.
  • “Agent Swap” – the replacement of one active AI Employee with a different AI Employee within your Subscription. An Agent Swap permanently deletes all data, configurations, and history associated with the replaced AI Employee.
  • “Referral Programme” – the programme through which eligible persons may refer new subscribers and earn a commission, as described in Section 17 of these Terms and in full at ewpire.com/referral-terms.
  • “Admin” – the primary User who manages a Subscription, invites team members, and controls agent assignments. Each Subscription has exactly one Admin.
  • “Team Member” – a User invited by an Admin to manage a specific AI Employee within the Admin's Subscription. Team Members have limited permissions as described in Section 5.
  • “Pause” – a temporary suspension of an AI Employee's operations. Data and configurations are preserved. A paused AI Employee may be resumed at any time.
  • “Messenger” – a supported messaging platform (Telegram, WhatsApp, Slack, or Discord) through which Users interact with the Service via the OpenClaw gateway.
  • “Client Data” – any data, content, files, or information you provide to or generate through the Service, including business data, agent configurations, and messenger communications.
  • “Trial” – an optional three-day free trial of the Starter plan offered by ewpire, as further described in Section 4.13 of these Terms.
  • “Activation Time” – the moment a customer's Trial activation is recorded by ewpire's systems, as defined in Section 4.13.3.
  • “Trial End Time” – the Activation Time plus seventy-two (72) hours, at which point the Trial automatically converts to a paid Starter subscription unless cancelled, as defined in Section 4.13.3.
  • “Starter plan” – the entry-level Subscription Plan at $199/€199/£199 per month (or $1,990/€1,990/£1,990 per year) granting access to one (1) AI Employee, as described in the definition of “Subscription Plan” above and in Section 4.13.

2. Acceptance of Terms

By accessing the website, subscribing to a plan, interacting with an AI Employee, or otherwise using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are acting on behalf of a business or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms.

If you do not agree to these Terms, you must immediately cease all use of the Service.

2.1 B2B scope. The Service is offered solely to businesses, legal entities, and individuals acting in their professional capacity. Consumer provisions apply only where mandatory law extends them. By accepting these Terms, the User warrants that it enters into this agreement in such a professional capacity and that, as between the User and ewpire, the withdrawal rights under Directive 2011/83/EU and equivalent distance-contract rules do not apply save where mandatory local law provides otherwise.

3. Account and Access

3.1 Messenger-Based Access. ewpire does not use traditional username/password accounts. After subscribing, you access and manage your AI Employees through a supported Messenger (Telegram, WhatsApp, Slack, or Discord). Your Messenger identity serves as your primary authentication method.

3.2 Account Commands. You may manage your subscription and AI Employees using messenger commands, including but not limited to: /settings, /pause, /resume, /status, and /report.

3.3 Account Recovery. If you lose access to your Messenger account, you may recover access to your ewpire subscription via ewpire.com/recover, which sends a magic link to the email address associated with your Stripe subscription.

3.4 Eligibility. You must be at least 18 years of age and have the legal capacity to enter into binding agreements. You are solely responsible for all activity conducted through your Messenger connection to the Service.

3.5 Security. You are responsible for maintaining the security of your Messenger account. You must notify us immediately at [email protected] if you suspect any unauthorised use of your Service access.

4. Subscription and Billing

Starter-plan customers may be eligible for a three-day free Trial under Section 4.13.

4.1 Pricing.All prices displayed on ewpire.com are exclusive of Value Added Tax (VAT). Subscription Plans are available with monthly or annual billing. Monthly rates: Starter $199/€199/£199 (1 AI Employee), Pro $499/€499/£499 (3 AI Employees), Business $1,499/€1,499/£1,499 (all 9 AI Employees). Annual rates (approximately 17% discount, equivalent to 2 months free): Starter $1,990/€1,990/£1,990 per year, Pro $4,990/€4,990/£4,990 per year, Business $14,990/€14,990/£14,990 per year. All AI Employees are available in all plans; plans differ only in the number of included agents. Prices are displayed in USD ($), EUR (€), or GBP (£) based on your geographic location. All three currencies reflect the same price point. The actual currency charged at checkout is determined by Stripe based on your location and payment method.

4.2 VAT and Taxes. VAT is calculated and applied automatically at checkout by Stripe Tax in accordance with applicable tax laws. EU business customers with a valid VAT identification number qualify for the reverse charge mechanism (0% VAT). You are responsible for providing accurate tax information and for payment of all applicable taxes, duties, and levies.

4.3 Payment Processing. All payments are processed by Stripe, Inc.By subscribing, you agree to Stripe's applicable terms of service and privacy policy. ewpire does not store your payment card details on its own servers.

4.4 Auto-Renewal. Subscriptions renew automatically on a monthly or annual basis, depending on the billing interval selected at checkout. On each renewal date, your payment method on file will be charged the applicable subscription fee plus any VAT. You authorise this recurring charge by subscribing.

4.5 Cancellation. You may cancel your Subscription at any time by: (a) using the /settings command in your Messenger; or (b) accessing the Stripe Customer Portal. Cancellation takes effect at the end of the current billing period. You retain access to the Service until the end of the paid period. For monthly subscriptions, no refunds are issued for partial months of service. For annual subscriptions, Section 4.14 (Annual Refund Policy) applies.

4.6 Failed Payments. If a payment fails, we may suspend your access to the Service until the outstanding amount is settled. Stripe will attempt to retry failed charges according to its retry schedule. We will make reasonable efforts to notify you via Messenger or email before suspension.

4.7 Pricing Changes.We may adjust subscription pricing with at least 30 days' prior notice before the start of your next billing cycle. Continued use after the new pricing takes effect constitutes acceptance. If you do not agree, you may cancel before the change takes effect.

4.8 Add-on Agents.You may add additional AI Employees beyond those included in your Subscription Plan at a cost of $199/€199/£199 per month per Add-on Agent. Starter plans may add up to 2 Add-on Agents (3 total); Pro plans may add up to 3 Add-on Agents (6 total). Business plans include all 9 AI Employees. Each AI Employee type may only be activated once per Subscription – duplicate agents of the same type are not permitted. If your Add-on usage reaches the next plan tier, we may suggest upgrading for better value.

4.9 Agent Swap. You may replace an active AI Employee with a different one at any time via your Messenger. An Agent Swap permanently and irreversibly deletes all data, configurations, conversation history, and settings associated with the replaced AI Employee. A fresh onboarding process begins for the new AI Employee. You will be asked to confirm the swap before it is executed. Agent Swaps do not incur additional charges.

4.10 Email Warmup (Sales Agent).To protect your email domain reputation and ensure deliverability, the Sales Agent enforces a mandatory warmup schedule for new email accounts: Week 1: 5–10 emails/day (warmup only, no cold outreach); Week 2: 10–20 emails/day; Week 3: 20–30 emails/day; Week 4: 30–50 emails/day. After warmup, the maximum sending limit is 50 emails per day. The Sales Agent will decline requests to exceed these limits to protect your domain from being flagged as spam.

4.11 Image Generation (Growth Agent). The Growth Agent may generate AI-powered image briefs and images as part of ad creative packages. Image generation is limited to 50 images per day across all Subscription Plans. When the daily limit is reached, the Growth Agent will continue producing text-only creative assets until the limit resets the following day.

4.12 Money-Back Guarantee.If you cancel your Subscription within 14 calendar days of your first payment, you are entitled to a full refund of that payment. The refund will be processed automatically via Stripe within 5–10 business days. Upon refund, all AI Employees are stopped immediately. This guarantee applies to the first payment only and does not apply to subsequent renewal payments. For customers who activate the Free Trial described in Section 4.13, the fourteen-day period under this Section 4.12 begins at the Trial End Time (first paid charge), not at Trial activation. For annual subscriptions cancelled after the 14-day window, Section 4.14 (Annual Refund Policy) applies.

4.13 Free Trial. Starter-plan customers may be eligible for a three-day free trial under this Section 4.13. The Trial is a commercial courtesy provided by ewpire and is governed by the subsections below in addition to the rest of these Terms. In the event of a conflict between this Section 4.13 and any other provision of these Terms concerning the Trial specifically, this Section 4.13 controls.

4.13.1 Overview.ewpire offers an optional three (3) day free trial of the Starter plan (“Trial”). The Trial is a commercial courtesy provided by LeMans Labs OÜ (“ewpire”, “we”, “us”) and is governed by this Section 4.13 in addition to the rest of these Terms of Service (“Terms”). In the event of a conflict between this Section 4.13 and any other provision of the Terms concerning the Trial specifically, this Section 4.13 controls.

4.13.2 Eligibility.The Trial is available only to new customers who satisfy all of the following conditions: (a) the customer has not previously activated a Trial under the same email address, Stripe customer identifier, or payment card fingerprint; (b) the customer selects the Starter plan at checkout – the Trial is not available for the Pro or Business plans; (c) the customer provides a valid payment method accepted by our payment processor, Stripe Payments Europe, Ltd.; and (d) the customer completes the two mandatory consent checkboxes presented at checkout (see Section 4.13.6 below). The Trial is single-use per customer. We may, in our sole discretion, treat accounts that circumvent this rule as a single account for enforcement purposes under Section 4.13.9.

4.13.3 Duration.The Trial lasts exactly seventy-two (72) hours, measured precisely from the moment the customer's Trial activation is recorded by our systems (the “Activation Time”). The Trial ends at the Activation Time plus seventy-two (72) hours (the “Trial End Time”). The Trial End Time, expressed in Coordinated Universal Time (UTC), is displayed to the customer at checkout, in the order confirmation email, and in the customer's Account Settings page at all times during the Trial.

4.13.4 Access and Authorization Hold During the Trial.During the Trial, the customer receives full access to all features of the Starter plan as described at https://ewpire.com/pricing. No subscription charge is applied during the Trial. However, at the Activation Time, Stripe will place a temporary authorization hold of one United States Dollar (USD 1.00) on the customer's payment method to verify that the card is valid. This authorization hold is not a charge and is automatically released by the card issuer, typically within five (5) to seven (7) business days.

4.13.5 Automatic Conversion to Paid Subscription. At the Trial End Time, the Trial automatically converts to a paid Starter subscription and the customer's payment method is charged the amount corresponding to the billing interval selected at trial activation: (a) for monthly billing: USD 199.00 per month (or EUR 199.00 / GBP 199.00); (b) for annual billing: USD 1,990.00 per year (or EUR 1,990.00 / GBP 1,990.00); (c) plus any applicable value-added tax (VAT), sales tax, or equivalent indirect tax, calculated automatically by Stripe Tax based on the customer's billing address and, for EU customers, collected by LeMans Labs OÜ under the Estonian One-Stop-Shop (OSS) VAT scheme (tax registration taxreg_1OhuwHCmFyv1zvrLNo1uocyl, tax category txcd_10103000– Electronically Supplied Services). The paid subscription renews at the same interval and amount until cancelled by the customer under Section 4.13.7 or terminated under Section 4.13.9. By initiating the Trial and ticking the consent checkboxes described in Section 4.13.6, the customer expressly authorizes this recurring charge and acknowledges that no further notice is required before the first charge, save for the reminder communication ewpire voluntarily sends twenty-four (24) hours before the Trial End Time.

4.13.6 Consent at Checkout. Before the customer can initiate the Trial, the checkout page presents two separate, unticked consent checkboxes that must both be ticked in order to enable the “Start 3-day trial” button: (i) Terms and recurring charge consent. “I agree to the Terms of Service and Privacy Policy, and I authorize the recurring charge described above.” (ii) Immediate supply and withdrawal waiver (EU/UK customers). “I request that ewpire begin providing the service to me immediately during the trial, and I understand that if I am located in the European Union or the United Kingdom, I waive my 14-day right of withdrawal under Article 16(m) of Directive 2011/83/EU (and Regulation 37(1)(a) of the UK Consumer Contracts Regulations 2013) once the digital service has been supplied.” Pre-ticked checkboxes are not used, consistent with the Court of Justice of the European Union ruling in Case C-673/17 (Planet49) and Article 7(2) GDPR. The exact text shown to the customer, together with the timestamp, IP address, user agent, and version hash of the disclosure, is recorded in an immutable consent log for no less than three (3) years as evidence of informed consent.

4.13.7 Cancellation Rights During the Trial. The customer may cancel the Trial at any time before the Trial End Time, in one (1) click, with no explanation or survey required, through any of the following channels: (a) Account Settings → Manage Subscription → Cancel, accessible from https://ewpire.com/account; (b) the Stripe Customer Portal link included in the order confirmation email; or (c) by email to [email protected]– processed on a best-effort basis during European business hours; customers are strongly encouraged to use channel (a) or (b) to ensure timely processing. If the customer cancels before the Trial End Time, no charge is applied, access continues until the Trial End Time, and the account then becomes read-only. This cancellation procedure is at least as simple as the procedure for initiating the Trial, in accordance with Article 246 of the Estonian Law of Obligations Act and the EU Modernization Directive (Directive (EU) 2019/2161).

4.13.8 EU and UK Right of Withdrawal – Immediate Supply Waiver. For customers established in the European Union or the United Kingdom, the statutory fourteen (14) day right of withdrawal that normally applies to distance contracts for digital services under Article 9 of Directive 2011/83/EU is expressly waived upon activation of the Trial, on the basis that: (a) the customer has given explicit prior consent to immediate performance of the service (Section 4.13.6, checkbox (ii)); (b) the customer has acknowledged the loss of the withdrawal right as a consequence of that immediate performance; and (c) the digital service is supplied immediately and in full from the Activation Time, within the meaning of Article 16(m) of Directive 2011/83/EU. No payment is taken during the Trial itself, and the commercial fourteen-day money-back guarantee described in Section 4.13.9 applies independently to the first paid month, so that EU and UK customers retain a substantively equivalent refund remedy in practice.

4.13.9 Commercial 14-Day Money-Back Guarantee (Separate from the Trial). The fourteen (14) day money-back guarantee described in Section 4.12 of these Terms is a voluntary commercial offer made by ewpire and is separate from, and additional to, any statutory withdrawal right. For avoidance of doubt: (a) the fourteen-day period begins at the Trial End Time, i.e. the moment of the first paid charge, not at Trial Activation Time; (b) a refund request must be made by email to [email protected] within fourteen (14) days of the first paid charge; (c) refunds are processed to the original payment method within five (5) to ten (10) business days of approval; (d) the guarantee applies only to the first paid month; subsequent monthly charges are non-refundable except where required by mandatory applicable law; and (e) the guarantee does not apply to the Trial itself, because no payment is taken during the Trial.

4.13.10 Single-Use Enforcement and Abuse Prevention. The Trial is limited to one (1) activation per customer. ewpire enforces this rule by neutral technical criteria, specifically deduplication on email address, Stripe customer identifier, and payment-card fingerprint (the Stripe fingerprintfield, which is a salted hash and does not reveal card numbers). Attempts to circumvent the single-use limit – including, without limitation, creating multiple accounts under different email addresses with the same payment card, or otherwise misrepresenting identity – may result in the termination of all affected accounts and forfeiture of any active Trial, without refund where a paid charge has already occurred due to conversion.

4.13.11 Termination by ewpire During the Trial. ewpire reserves the right to terminate a Trial at any time, with immediate effect and without refund of any authorization hold (which is in any event automatically released by the card issuer), where ewpire reasonably suspects: (a) fraud, chargeback abuse, or payment-method theft; (b) violation of these Terms, the Acceptable Use Policy, or applicable law; or (c) circumvention of Section 4.13.10. Where the Trial is terminated under this Section 4.13.11, ewpire will notify the customer by email to the address on file and will delete the associated account data in accordance with Section 4.13.12, subject to legal-hold obligations. Termination of a Trial is governed by this Section 4.13.11, which prevails over Section 13 of these Terms for Trial accounts.

4.13.12 Data Retention After the Trial. (a) If the customer cancels before the Trial End Time and does not convert to a paid subscription, the account is placed into a read-only state at the Trial End Time and all customer-generated content (prompts, agent outputs, uploaded files) is permanently deleted within thirty (30) days, save for the data that ewpire is legally required to retain under Section 4.13.12(c). (b) If the customer converts to a paid subscription, data is retained in accordance with the main data-retention policy set out in the Privacy Policy at https://ewpire.com/privacy. Trial-specific retention rules are also described in this Section 4.13.12, as referenced in the Privacy Policy. (c) Legally-mandated retention. The following data is retained beyond thirty (30) days on the lawful basis of legal obligation under Article 6(1)(c) GDPR and applicable Estonian law, regardless of account status: billing records and invoices for seven (7) years under Section 12 of the Estonian Accounting Act; Stripe customer identifier, last four digits of the card, and billing country for seven (7) years tied to those invoices; consent artifacts (timestamp, IP, user agent, checkbox state, disclosure-version hash) for three (3) years as proof of informed consent under Article 7(1) GDPR; and transactional email delivery logs for three (3) years. (d) Right to erasure.The customer's right to erasure under Article 17 GDPR is honored within thirty (30) days of a verified request, except to the extent that retention is mandated under Section 4.13.12(c); where erasure cannot be granted in full, ewpire will inform the customer of the legal basis and scope of the retained data.

4.13.13 Governing Law and Jurisdiction.This Section 4.13 is governed by the laws of the Republic of Estonia, without regard to conflict-of-laws principles. Any dispute arising out of or in connection with the Trial shall be submitted to the exclusive jurisdiction of the courts of Harju County, Tallinn, Estonia, except where the customer is a consumer resident in the European Union or the United Kingdom and mandatory consumer-protection law of the customer's country of habitual residence grants the customer the right to bring proceedings before, or to be sued in, the courts of that country – in which case those mandatory rules prevail.

4.13.14 Pause, modification, and waitlist mode.The Service, any specific feature, and the three-day Trial described in §4.13 may, at ewpire's discretion and on reasonable notice, be paused, modified, restricted to a waitlist, or withdrawn in whole or in part where ewpire is implementing product re-architecture, capacity management, regulatory compliance, security response, or commercially reasonable platform migration. During any such period: (a) no Trial will be initiated for new customers; (b) existing paid Subscriptions continue under these Terms or, where ewpire determines that continued operation is not reasonably possible, are placed on a paused status with pro-rata credit or refund at ewpire's election under §12; (c) prospective customers may elect to join a waitlist, which creates no contractual obligation on ewpire to offer a Trial or Subscription by any particular date; (d) the fourteen (14) day money-back guarantee in §4.12 is not triggered by pause alone, provided service resumes within thirty (30) days or the customer is offered a full refund of any unused prepaid period. Joining the waitlist does not constitute acceptance of any Trial consent described in §4.13.6; those consents are collected afresh if and when the Trial is re-opened to the waitlist entrant.

4.14 Annual Refund Policy (Earned-Discount Model). For annual subscriptions cancelled after the 14-day money-back window described in Section 4.12, ewpire applies an earned-discount refund model. This model is designed to treat customers fairly without penalising early cancellation excessively, while preserving the annual discount only for customers who complete their term.

4.14.1 Refund formula. The refund amount is calculated as: refund = total paid annual amount − (months used × equivalent monthly rate). “Months used” is rounded up to the next whole month. The equivalent monthly rate is the standard monthly price for the same plan tier (Starter $199/€199/£199, Pro $499/€499/£499, Business $1,499/€1,499/£1,499).

4.14.2 Worked examples.
(a) Pro Annual $4,990, cancelled after 2 months of use → refund = $4,990 − (2 × $499) = $3,992.
(b) Starter Annual $1,990, cancelled after 5 months of use → refund = $1,990 − (5 × $199) = $995.
(c) Business Annual $14,990, cancelled after 10 months of use → refund = $14,990 − (10 × $1,499) = $0 (full annual rate already earned through standard monthly pricing).

4.14.3 Non-refund conditions. No refund is issued where: (a) the annual term has already concluded; (b) ten or more months of the annual term have elapsed (the full annual rate has already been earned at standard monthly pricing); (c) the account has been suspended or terminated for breach of these Terms under Section 4.13.11 or Section 13.2; (d) the refund is requested more than thirty (30) days after the cancellation takes effect.

4.14.4 Procedure. To request an annual refund under this Section 4.14, email [email protected] within thirty (30) days of cancellation. Refunds are processed to the original payment method via Stripe within seven (7) to fourteen (14) business days of approval. Upon refund, all AI Employees associated with the Subscription are stopped immediately.

4.14.5 Add-on agents and one-time charges. Add-on Agents (Section 4.8) and any one-time purchases are not subject to the earned-discount refund model and remain non-refundable after the 14-day money-back window in Section 4.12.

4.14.6 Referral commission impact. Where a refund under this Section 4.14 is issued on an annual Subscription acquired via a referral link, the impact on the referrer is governed by §6 of the Referral Programme Terms at ewpire.com/refer/terms. In summary: annual referral commissions are paid as twelve equal monthly instalments over the customer's active term; on cancellation, all futurescheduled instalments are cancelled immediately, while past instalments are retained by the referrer without claw-back (except where §6.1 / §6.4 applies – 14-day full refund or chargeback).

4.14.7 Relationship to statutory rights. This Section 4.14 is a voluntary commercial policy offered by ewpire and does not limit or waive any mandatory consumer-protection rights that may apply to customers resident in the European Union, the United Kingdom, or other jurisdictions with stricter consumer-protection regimes. Where applicable mandatory law grants a more generous refund than this Section 4.14, that law prevails.

5. AI Employee Services

5.1 Autonomous Operation. AI Employees operate autonomously based on the configuration and instructions you provide. They may send messages, process data, generate content, and perform actions within the scope of their designated role. You acknowledge that AI Employees act on your behalf and you remain responsible for their outputs and actions.

5.2 No Guaranteed Results. AI Employees are tools designed to assist with business tasks. ewpire makes no representations or warranties regarding: (a) the number of leads, sales, conversions, or replies generated; (b) the accuracy, completeness, or quality of AI-generated content; (c) any specific return on investment or business outcome; or (d) uninterrupted or error-free operation. Results depend on numerous factors outside our control, including the quality of data you provide, market conditions, and your industry.

5.3 AI Limitations. AI Employees may produce content that is inaccurate, incomplete, or inappropriate. This is an inherent characteristic of current AI technology. You are responsible for reviewing, verifying, and approving all AI-generated outputs before they are acted upon or distributed.

5.4 Service Availability. All Subscription Plans are provided on a commercially reasonable efforts basis. ewpire does not offer a formal Service Level Agreement (SLA) or uptime guarantee for any plan. We strive to maintain high availability but do not guarantee uninterrupted access to the Service.

5.5 Voice Messages. All plans include voice message support. When you send a voice message via your messenger, it is automatically transcribed to text using a third-party transcription service and processed as a standard text instruction. Audio data is not stored after transcription. You are responsible for the content of your voice messages as you are for text messages.

5.6 Evolving Technology. AI capabilities may change over time as underlying models are updated. ewpire will make commercially reasonable efforts to maintain or improve service quality, but specific agent behaviours may vary between model versions.

5.7 Team Access. Admin Users may invite Team Members to manage specific AI Employees within their Subscription using the /invite command. Team Members may configure and manage only the AI Employee(s) assigned to them. Admin privileges (including /invite, /swap, /cancel, and /team) cannot be delegated to Team Members.

5.8 Output-Only Policy.AI Employees produce content, copy, analysis, and creative assets as output for your review and approval. No AI Employee automatically publishes content to, engages with, or takes actions on third-party social media or advertising platforms on your behalf. All output is delivered to your messenger or dashboard as drafts. You are responsible for publishing, uploading, or otherwise using the output in compliance with the relevant platform's terms of service.

6. Acceptable Use

You agree not to use the Service to:

  • Engage in any illegal activity or facilitate the violation of any applicable law or regulation;
  • Send unsolicited communications (spam) in violation of applicable anti-spam laws, including the CAN-SPAM Act, EU ePrivacy Directive, or CASL;
  • Engage in harassment, threats, defamation, discrimination, or any form of abusive communication;
  • Distribute malware, phishing content, or fraudulent communications;
  • Infringe upon the intellectual property rights of any third party;
  • Collect or process personal data in violation of the GDPR or other applicable data protection laws;
  • Use the Service to develop, train, or improve a competing AI product or service, or to reverse-engineer, decompile, or extract ewpire's algorithms, prompts, or methodologies;
  • Attempt to gain unauthorised access to ewpire's systems, other users' data, or any related networks;
  • Use the Service in a manner that could damage, disable, overburden, or impair ewpire's infrastructure or exceed applicable rate limits;
  • Misrepresent your identity or affiliation, or impersonate any person or entity;
  • Share, resell, or sublicense your access to the Service to any third party without ewpire's prior written consent; or
  • Abuse AI Employees by attempting to circumvent safety measures, extract system prompts, or cause them to produce harmful, illegal, or policy-violating content.

Rate Limits. The Service is subject to fair use rate limits. Excessive or abusive usage patterns may result in temporary throttling or suspension. Specific rate limits may vary by Subscription Plan and are communicated during onboarding.

Violation of this Acceptable Use policy may result in immediate suspension or termination of your account without refund.

7. Intellectual Property

7.1 ewpire's IP.All technology, software, algorithms, AI agent architectures, prompts, workflows, methodologies, user interface designs, trademarks, logos, and other intellectual property comprising or underlying the Service are and remain the exclusive property of LeMans Labs OÜ or its licensors. Nothing in these Terms grants you any right, title, or interest in our intellectual property except the limited right to use the Service as permitted herein.

7.2 User's IP. You retain all ownership rights in your Client Data, brand materials, and any pre-existing intellectual property you provide to the Service. We claim no ownership over your business data.

7.3 AI-Generated Outputs. Subject to your ownership of Client Data incorporated into outputs, you are granted a non-exclusive, worldwide licence to use AI-generated outputs produced by the Service for your legitimate business purposes. ewpire does not claim ownership of outputs generated specifically for your account.

7.4 Blog Content.All articles, guides, and editorial content published on the ewpire blog are the copyrighted property of LeMans Labs OÜ. You may share links to blog posts but may not reproduce, republish, or redistribute blog content without our prior written consent.

7.5 Feedback. If you provide suggestions, ideas, or feedback regarding the Service, you grant ewpire a perpetual, irrevocable, royalty-free licence to use such feedback for any purpose, including improving the Service, without obligation or compensation to you.

8. Data and Privacy

Our collection, use, and protection of personal data are governed by our Privacy Policy, which forms an integral part of these Terms. By using the Service, you acknowledge that you have read and understood the Privacy Policy.

All data is stored on European servers. We do not use your Client Data to train, fine-tune, or improve AI models. AI model providers engaged by ewpire do not persistently store your data.

ewpire offers free tools on its website, including the ROI Calculator (/tools/roi-calculator) and the AI Employee Quiz (/tools/quiz).

These tools are provided “as is” and “as available” for informational and illustrative purposes only. ewpire makes no guarantee of the accuracy, completeness, or reliability of the outputs or recommendations generated by these tools. Calculations, scores, and suggestions are estimates and should not be relied upon as the sole basis for business decisions.

Use of free tools does not require a Subscription and does not create a contractual relationship beyond these Terms.

10. Custom Agent Requests

Users may submit custom AI Employee requests through the form at ewpire.com/custom. Submission of a request does not create any obligation on the part of ewpire to build, develop, or deliver a custom agent.

Custom agent requests are used for product feedback and roadmap planning purposes. If ewpire elects to develop a requested agent, separate terms and pricing will be communicated to the requesting User.

11. Limitation of Liability

11.1 Cap on Liability. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EWPIRE'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICE, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, SHALL NOT EXCEED THE TOTAL AMOUNT OF SUBSCRIPTION FEES PAID BY YOU TO EWPIRE IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

11.2 Exclusion of Damages. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EWPIRE SHALL NOT BE LIABLE FOR ANY: (a) INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES; (b) LOSS OF PROFITS, REVENUE, BUSINESS, SAVINGS, OR GOODWILL; (c) LOSS OR CORRUPTION OF DATA; (d) COST OF PROCUREMENT OF SUBSTITUTE SERVICES; OR (e) DAMAGES ARISING FROM OR RELATED TO YOUR RELIANCE ON AI-GENERATED OUTPUTS, REGARDLESS OF WHETHER EWPIRE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

11.3 Disclaimer of Warranties.THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. EWPIRE DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

11.4 Jurisdictional Limitations. Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability shall be limited to the fullest extent permitted by law. Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under applicable law.

12. Indemnification

You agree to indemnify, defend, and hold harmless LeMans Labs OÜ, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:

  • Your use of the Service, including any AI-generated outputs you distribute, publish, or act upon;
  • Your violation of these Terms or any applicable law or regulation;
  • Unsolicited communications sent through or facilitated by the Service;
  • Violations of data protection laws (including the GDPR) in connection with your use of the Service;
  • Violations of the EU AI Act or similar AI regulation arising from your deployment of AI Employees;
  • Any third-party claim that your Client Data infringes or violates the rights of a third party; or
  • Your negligence or wilful misconduct.

This indemnification obligation survives the termination of these Terms and your use of the Service.

13. Termination

13.1 Termination by User. You may cancel your Subscription at any time by: (a) using the /settings command in your Messenger; or (b) accessing the Stripe Customer Portal. Cancellation takes effect at the end of the current billing period.

13.2 Termination by ewpire. We may suspend or terminate your access to the Service, in whole or in part, immediately and without prior notice if: (a) you breach any material provision of these Terms; (b) you engage in activity that poses a security risk or may cause harm to ewpire, other users, or third parties; (c) your account is subject to a legal or regulatory complaint; (d) we are required to do so by law; or (e) your payment method repeatedly fails and you do not resolve the outstanding balance within a reasonable period. Termination of a Trial account is governed by Section 4.13.11, which prevails over this Section 13.2 for Trial accounts.

13.3 Refund on Termination. If ewpire terminates your account for reasons other than your breach of these Terms, we will refund the prorated unused portion of your current billing cycle. If termination results from your breach, no refund will be issued.

13.4 Effect of Termination. Upon termination: (a) your right to use the Service ceases immediately or at the end of the paid period, as applicable; (b) ewpire will delete your Client Data within 90 days, unless retention is required by law; and (c) provisions that by their nature should survive termination (including Sections 7, 8, 11, 12, 14, 15, and 17) will continue in effect.

14. Changes to Terms

We may revise these Terms from time to time. When we make material changes, we will provide at least 30 days' prior notice via your connected Messenger and/or the email address associated with your Stripe subscription. The updated Terms will also be posted on this page with a revised effective date.

Your continued use of the Service after the revised Terms take effect constitutes acceptance. If you do not agree to the revised Terms, you must cancel your Subscription and stop using the Service before the changes take effect.

15. Governing Law and Dispute Resolution

15.1 Governing Law. These Terms shall be governed by and construed in accordance with the laws of the Republic of Estonia, without regard to its conflict of law provisions. Mandatory provisions of European Union law shall apply where applicable.

15.2 Amicable Resolution. Before initiating any formal proceedings, both parties agree to attempt to resolve disputes through good-faith negotiation for a period of at least 30 days following written notice of the dispute sent to the other party.

15.3 Jurisdiction. Any disputes that cannot be resolved amicably shall be submitted to the exclusive jurisdiction of the Harju County Court (Harju Maakohus), Tallinn, Estonia.

15.4 EU Consumer Rights. If you are a consumer in the European Union, nothing in these Terms affects your mandatory statutory rights under EU consumer protection law. You may also be entitled to use the EU Online Dispute Resolution platform at ec.europa.eu/consumers/odr.

16. General Provisions

16.1 Entire Agreement. These Terms, together with the Privacy Policy and Cookie Policy, constitute the entire agreement between you and ewpire with respect to the Service and supersede all prior or contemporaneous agreements, representations, and understandings.

16.2 Severability. If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

16.3 Waiver. The failure of ewpire to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

16.4 Assignment.You may not assign or transfer your rights or obligations under these Terms without ewpire's prior written consent. ewpire may assign these Terms in connection with a merger, acquisition, reorganisation, or sale of all or substantially all of its assets.

16.5 Force Majeure. ewpire shall not be liable for any failure or delay in performing its obligations under these Terms to the extent that such failure or delay results from circumstances beyond its reasonable control, including but not limited to natural disasters, pandemics, war, cyberattacks, third-party service outages, power or internet failures, or changes in applicable law.

16.6 Notices. All notices under these Terms shall be in writing and sent to: (a) for ewpire, [email protected]; (b) for you, the email address associated with your Stripe subscription or via your connected Messenger.

16.7 Language. These Terms are drafted in English. In the event of any translation, the English version shall prevail.

17. Referral Programme

17.1 Eligibility. Any eligible person may participate in the Referral Programme, subject to the Referral Programme Terms at ewpire.com/referral-terms. An active ewpire Subscription is not required.

17.2 Commission. When a person you refer subscribes to a paid ewpire plan using your unique referral code or link, you earn a commission equal to 20% of the referred subscriber's first payment (monthly or annual, excluding VAT).

17.3 Payout Conditions.Commission is earned only if the referred subscriber completes their first full month of paid subscription without cancelling. Payouts are processed automatically on the 31st day after the referred subscriber's initial payment via Stripe Connect. You must have a valid Stripe Connect Express account to receive payouts.

17.4 Restrictions. Self-referrals are prohibited. Referral codes may not be promoted through spam, misleading advertising, or any method that violates these Terms or applicable law. ewpire reserves the right to disqualify referrals and withhold commissions in cases of fraud or abuse.

17.5 Programme Changes.ewpire may modify or discontinue the Referral Programme at any time with 30 days' notice. Commissions earned before a change remain valid and will be paid out according to the terms in effect at the time the referral was made.

17.6 Referral Programme – Tax Responsibility.Referral commissions constitute taxable income. Each Referrer is solely responsible for reporting and paying all applicable taxes (including but not limited to income tax, VAT, self-employment tax, and withholding tax) on commissions received under the Referral Programme, in accordance with the laws of their country of tax residence. LeMans Labs OÜ does not withhold taxes on behalf of Referrers, does not issue tax forms (such as W-9, W-8BEN, or equivalent), and does not provide tax advice. You are advised to consult a qualified tax professional regarding your obligations.

19. Messenger Account Linking (BYOA)

19.1 Scope and authorisation.By connecting a Linked Account via OpenClaw, the User authorises ewpire and the engaged AI Employees to read messages to that account, send messages from it, and perform such other actions as are reasonably necessary to deliver the Service. The User warrants legitimate ownership or duly granted authorisation for each Linked Account and indemnifies ewpire under §12 against any contrary claim.

19.2 Platform Terms remain in force. Each Linked Account remains subject to the platform's own terms, acceptable-use policy, rate limits, and commercial-messaging rules – including the Telegram Bot Terms, Slack API Terms, Discord Developer Terms, Microsoft Teams Commercial Use policies, Google Chat Bot policies, and the equivalent terms of any additional platform that ewpire subsequently enables (“Platform Terms”). The User is bound by each applicable Platform Term and must not use the Service to circumvent it.

19.3 Disclaimer of platform actions.ewpire is not a party to any Platform Term and accepts no liability for: (a) suspension, restriction, rate-limiting, or termination of a Linked Account by the platform; (b) unilateral changes to Platform Terms; (c) deprecation or outage of any platform API; or (d) platform enforcement against the User. The User's sole remedy is against the platform concerned.

19.4 Future platform additions.Individual messenger platforms may be added to or removed from the supported Linked-Account list at ewpire's discretion. Where a platform imposes additional eligibility, verification, tier, or onboarding requirements, those requirements will be disclosed on ewpire.com and in the applicable onboarding flow before the User elects to connect the Linked Account. No refund or credit applies to platform-side delay or rejection outside ewpire's control.

19.5 Indemnity – platform misuse.Without limiting §12, the User shall defend, indemnify, and hold ewpire harmless from any claim, regulatory action, or platform penalty arising from: (a) violation of a Platform Term; (b) unsolicited or deceptive messaging; (c) operation of a Linked Account in a jurisdiction where such operation is unlawful; or (d) a dispute with the legitimate owner regarding authorisation.

20. AI Agent Scope – Business Purpose Only

20.1 Designated tasks. The Service is supplied as business productivity tools for specific commercial tasks: sales outreach (Sales), customer-support first-contact resolution (Support Agent), competitive research (Research), lead scoring (Lead Qualification), growth-marketing content (Growth), job-applicant screening (HR Screener), tender and bid analysis (Tender), document processing (Document Processing), executive scheduling and triage (Executive Concierge), and Custom Agents within the same scope.

20.2 Not general-purpose. The Service is not offered as, and must not be used as, a general-purpose conversational AI, consumer chatbot, entertainment product, companion product, or unrestricted creative-generation tool.

20.3 User warranty. The User warrants that the User will not, and will not permit any Operator or end-recipient to: (a) configure an AI Employee as a general-purpose consumer chatbot; (b) deploy an AI Employee for interaction with minors, or where the primary purpose is entertainment, emotional support, companionship, romance, role-play, or sexual, violent, or politically inflammatory content; (c) use an AI Employee to make fully-automated decisions with legal or similarly significant effects on a natural person, unless an Article 22(2) GDPR exception applies and meaningful human review is implemented; (d) deploy an AI Employee in a use case classified as “high-risk AI system” under Annex III of Reg. (EU) 2024/1689 – in particular, but without limitation, the use of the HR Screener to take or materially determine hire / reject / promote / discipline decisions in respect of a natural person – without first executing with ewpire the supplementary High-Risk Deployment Annex published at ewpire.com/legal/high-risk-annex; (e) misrepresent an AI Employee as a human natural person contrary to Article 50 of Reg. (EU) 2024/1689; or (f) generate content constituting an unfair commercial practice under Dir. 2005/29/EC, including misleading testimonials or hidden advertising without clear disclosure.

20.4 Enforcement.Breach of §20.2 or §20.3 is a material breach entitling ewpire to suspend or terminate the Subscription under §13.2 with immediate effect and without refund.

21. LLM Provider Selection and BYOK

21.1 Default model (all tiers). Inference is provided by default, and on every tier (Starter, Pro, Business), on a single LLM operated by a sub-processor engaged by ewpire, disclosed in the Privacy Policy and the DPA sub-processor annex. Default-model tokens are included in the Subscription Fee subject to the fair-use limits published at ewpire.com/pricing.

21.2 BYOK (Pro and Business only).A Pro or Business subscriber may, via Account Settings, provide the subscriber's own API credential for a supported provider and route inference through that credential. BYOK is not available on Starter. In BYOK Mode: (a) the subscriber contracts directly with the LLM provider and is bound by its terms; (b) the subscriber is billed by the provider for tokens – ewpire charges no additional fee for BYOK routing beyond the Subscription Fee; (c) ewpire's role is limited to routing; (d) the subscriber is the controller vis-à-vis the provider; (e) keys are stored encrypted at rest (AES-256-GCM); (f) ewpire makes no representation that BYOK enables compliance with any particular regulatory obligation – the subscriber is solely responsible for such assessment.

21.3 Fair-use.Fair-use limits apply to the default model and, to the extent ewpire operates shared infrastructure, to BYOK routing. Exceeding limits may result in throttling or Subscription suspension under §13.2 for repeated or wilful breach.

22. Multi-User Access and Operator Roles

22.1 Admin.Each Subscription has exactly one Admin – the contracting counter-party with billing authority, cancel right, and responsibility for all activity under the Subscription including Operator activity.

22.2 Assignment and scope. The Admin may invite Operators on a per-AI Employee basis via /invite. Business permits assignment across all AI Employees; Pro across plan-included; Starter is single-user. An Operator may not invite others, swap or delete AI Employees, change billing, cancel, view billing history, or access unassigned AI Employees.

22.3 Warranty and imputation. Before invitation, the Admin warrants the Operator (a) is an employee, contractor, or authorised agent of the Admin's business; (b) is at least eighteen; (c) will accept these Terms and the Privacy Policy on first login. Operator first-login click-wrap acceptance is collected at /team/accept/{{token}}; the imputation chain in this §22.3 takes effect from the timestamp of that acceptance, not from the Admin invitation. All Operator acts within scope are, as between Admin and ewpire, deemed the Admin's acts; the Admin remains liable under §12 for Operator-caused breaches.

22.4 Revocation. The Admin may revoke Operator access at any time via /team or Account Settings, effective immediately.

23. Data Processing, Memory, Training, Isolation, Infrastructure

23.1 Roles and DPA. For Personal Data submitted through the Service (including messages received via Linked Accounts), the User is controller and ewpire is processor under Article 4 GDPR. The relationship is governed by the Data Processing Agreement at ewpire.com/dpa.

23.2 Purpose limitation and no training.ewpire processes Client Data solely to deliver the Service and for no other purpose without the User's specific written instruction. ewpire does not use Client Data to train, fine-tune, or improve foundation-model weights, except under a separately-signed research-participation agreement.

23.3 Memory and isolation. Each AI Employee maintains a pgvector-backed embedding store of prior conversations and User knowledge-base documents, isolated per Subscription at database-schema level on Starter, and at schema plus Dedicated Container level on Pro and Business. No cross-Subscription sharing of embeddings, prompts, or outputs occurs.

23.4 IP and licence.The User retains all rights in knowledge-base content. The User grants ewpire a non-exclusive, worldwide, royalty-free, time-limited licence to store, index, embed, and retrieve such content solely to respond to the User's own queries. Subject to the User's ownership of inputs, the User owns all AI-generated outputs. Custom Agents created by Pro and Business subscribers are User IP as to configuration and knowledge-base content; the builder, orchestration framework, and preset templates remain ewpire's IP under §7.1.

23.5 Portability and erasure. The User may export conversation history, configurations, and knowledge-base artefacts in a structured, machine-readable format at any time (Art. 20 GDPR). Right to erasure (Art. 17) is honoured within thirty (30) days, subject to legal-hold.

23.6 Retention after cancellation.Absent written erasure request, Client Data (other than billing records) is retained thirty (30) days after cancellation – during which period the User may export or reinstate – then hard-deleted, save for data ewpire must retain under Article 6(1)(c) GDPR, Section 12 of the Estonian Accounting Act (seven years billing), and consent-artefact retention under §4.13.12.

23.7 Infrastructure tiers and availability.Starter is delivered on shared multi-tenant infrastructure with schema-level isolation. Pro and Business are delivered in a Dedicated Container on shared ewpire VPS infrastructure. Monthly availability targets, excluding Linked-Account outages, LLM sub-processor outages, Cloudflare / Stripe / Hetzner maintenance, §16.5 force majeure, and User-requested suspension: Starter 99.5%; Pro 99.5%; Business 99.9%. Availability targets are internal operational targets and do not create a contractual entitlement to credits.

23.8 Client registration with supervisory authorities. Where the User's own collection, holding, or use of personal data requires the User to register with, or notify, a data-protection supervisory authority – for example, registration with the UK Information Commissioner's Office (ICO) under the Data Protection (Charges and Information) Regulations 2018, notification to the Polish UODO, registration with the Bulgarian CPDP, or equivalent duties in any other jurisdiction – the User is solely responsible for such registration, for paying any associated fee, and for keeping the registration current. ewpire operates as processor for the User's Client Data under a controller–processor relationship in which the User is the controller; ewpire does not file, maintain, or advise on the User's own controller-side registrations. 24. Referral Programme – Taxes and Cross-References

24.1 Referral programme – taxes and governing law. The ewpire Referral Programme (“Programme”), where offered, is governed by the Referral Programme Terms published at ewpire.com/refer/terms, which are binding on any person who signs up as a Referrer. Estonian law governs the Programme (LeMans Labs OÜ, registry 16872044, VAT EE102683710). The Referrer is solely responsible for declaring, withholding where applicable, and remitting any income tax, value-added tax, goods-and-services tax, sales tax, social-security contribution, or other tax on commissions received from ewpire. ewpire may issue informational reporting consistent with obligations placed on it (for example, Form W-9 / W-8BEN collection via Stripe Connect and any DAC7 reporting required of digital platforms under Directive (EU) 2021/514), but ewpire does not withhold taxes on commissions and does not provide tax advice. The Referrer warrants that the Referrer has consulted its local tax advisor before accepting commissions. ewpire disclaims all liability for the Referrer's tax compliance or non-compliance.

24.2 Effective date of §§19–24. The earlier of (a) fourteen (14) days after publication on ewpire.com/terms or (b) the first Subscription activated on v2 architecture. Existing subscribers notified at least thirty (30) days before effective date.

25. AI Presence Scan Reports – Digital Content & Refund Policy

25.1 Nature of Service.The AI Presence Scan (“Report”) is a one-time digital content product delivered electronically immediately upon successful payment. The Report consists of automated analysis of the Customer's brand visibility across AI assistant platforms (such as ChatGPT, Perplexity, Google AI Overviews, and Gemini), generated at the moment of purchase based on then-current data.

25.2 Immediate Performance & Waiver of Withdrawal Right.Pursuant to Article 16(m) of EU Directive 2011/83/EU on consumer rights, as transposed into Estonia by § 56(2)(11) of the Law of Obligations Act (Võlaõigusseadus), the statutory 14-day right of withdrawal does not apply to the Report where (a) the Customer has given prior express consent to immediate performance, and (b) the Customer has acknowledged loss of the right of withdrawal. By initiating payment for the Report, the Customer provides such consent and acknowledgment. The contract is fulfilled at the moment the Report is generated and made available to the Customer.

25.3 Non-Refundable.Subject to Section 25.4, all Report sales are final and non-refundable. No refunds will be issued on grounds of dissatisfaction with the Report's content, conclusions, methodology, scope, or commercial utility. The Report is provided “as is” pursuant to Section 11 (Limitation of Liability).

25.4 Technical Failure Refund. Notwithstanding Section 25.3, the Customer is entitled to a full refund where a technical failure attributable to LeMans Labs prevents delivery or generation of the Report. Qualifying failures include: (a) scan engine failure resulting in no Report being generated; (b) data unavailability at scan time preventing meaningful analysis; (c) corrupted or undeliverable Report file. The Customer must request such refund by emailing [email protected] within seven (7) calendar days of purchase, providing the order reference number. Refunds will be processed via the original payment method within fourteen (14) days. This Section does not extend to dissatisfaction with Report findings, AI assistant coverage scope, or accuracy of third-party data sources used in the scan.

25.5 Chargebacks.The Customer agrees to contact LeMans Labs prior to initiating any payment dispute or chargeback. Chargebacks initiated without prior contact, where a refund would otherwise have been granted under Section 25.4, may result in suspension of the Customer's account and recovery of dispute fees.

25.6 Pricing & VAT. The Report is sold at the price displayed at checkout, inclusive of VAT where applicable. Estonia KMKR (24%), EU OSS VAT, or zero-rate (non-EU customers and EU VAT-registered businesses with valid VAT ID) is determined automatically by Stripe Tax based on Customer location and tax status at time of purchase.

25.7 Records of Consent.LeMans Labs retains records of Customer consent under Section 25.2 (timestamp, hashed IP and user-agent, order reference) for a period of three (3) years from purchase, in accordance with Estonia Accounting Act § 12 and as evidence of contractual performance.
